Panacea Software Licence Agreement

The Panacea product ("the product") is licensed to you in terms of the following licence agreement. If you do not agree to these terms then you should not install the product.

For the purposes of this agreement the product shall include:

  • Panacea Practice Management software
  • enhancements, improvements, updates, additions and derivative works
  • documentation and other related materials

Your rights

Datamax grants to you a non-exclusive, non-transferable license to use the product on a single computer or on multiple terminals on a network for the purpose of administering a medical practice.  The use of the product is subject to the payment of a monthly licence fee per practice. The licence fee is payable on an on-going basis while the product is in use for any purpose whatsoever.

In the event that you decide to cease using the product, you are required to:

  1. give one month's written notification to Datamax, and
  2. to delete the product from your computer system, whereupon payment of the licence fee will cease.

Should you wish to "run down" your practice you will be allowed to continue using Panacea, however you will not be allowed to capture any new charges.  Services provided by Datamax during this period will be charged at an hourly rate.

Copyright

The product is owned by Datamax and is protected by copyright laws and international treaty provisions. You should treat the product like any other copyrighted items such as a book.  You are NOT authorised to copy any part of the manuals or other written materials which form part of the product.

You agree not to modify, reuse, disassemble, decompile, reverse engineer or otherwise translate the product or any portion thereof.

Transfer

You may not rent, lease or sell the product or copies of the product to any third party without the written permission of Datamax or its authorised representative.

Warranty

The product is supplied "as is", without any warranty of any kind, express or implied. Datamax does not warrant that the operations of the product will be uninterrupted or error free, nor does it assume any responsibility or liability whatsoever for any damages suffered as a result of the use of, or inability to use, the product.

Remedy

Datamax's entire liability and your exclusive remedy shall be at Datamax's option either:

  1. Replacement of materials
  2. Refund of the purchase price.

Variations

Any variations of these terms and conditions are only valid if confirmed by Datamax or its authorised representative in writing.
